Companies Act 2014: Module 3: Members rights and mergers is a single module delivered across a webinar and classroom based courses over different dates.

Course Content: 

  • Companies Act 2014: Module 3: Members rights and mergers:
  • Saturday 13th June: Members Rights and Meetings - Classroom/ Live Streaming Time: 9.00am - 11.00am. This session will cover:
  • Annual General Meetings, Extraordinary General Meetings, The Summary Approval Procedure and Shareholder Oppression – s.212.
  • Saturday 13th June: Mergers and Acquisitions - Classroom/ Live Streaming Time: 11.00am - 1.00pm. This session will cover:
  • Acquisitions and dissenting shareholders, Common Draft Terms of Merger, Expert’s Report, Merger Financial Statements and General Meetings v Summary Approval.
  • Wednesday 17th June: Complying with the Court Orders under the Act - Webinar Time: 1.00pm - 2.00pm. This session will cover:
  • Various Sections dealing with orders which may be made against accountants, How to comply and effects of non-compliance and Considerations outside the Act.

Learning Outcomes: 

  • You will learn about Annual General Meetings, Extraordinary General Meetings, The Summary Approval Procedure and Shareholder Oppression – s.212.
